Planning a company closure: matters to address before you begin
Licence cancellation, employee matters and other obligations need a coordinated review.

Stopping commercial activity and formally closing a company are different events. A business may still have obligations relating to its licence, staff, contracts or tax position after it stops trading. Planning the closure as a coordinated process helps identify what must be resolved and which parties need to be involved.
Identify the company and authority
The legal form and licensing authority determine the applicable route. A mainland company, a free zone entity and a branch may have different formalities. Liquidation or a specialist appointment may be required in some cases. A cancellation request should not be treated as a universal procedure that is identical for every licence.
Review connected obligations
Prepare an overview of employees and sponsored residents, premises, outstanding contracts, debts and current applications. Include the company’s tax registration position and any accounts requiring follow-up. These matters may involve different authorities or professional advisers. Identifying them early helps determine the sequence instead of discovering unresolved items at the final stage.
Agree on responsibilities and records
A clear engagement should distinguish administrative coordination from legal, accounting or liquidation work. Identify who will obtain approvals, handle specialist matters and retain the final records. Do not assume that expiry or non-renewal proves closure. Keep the relevant completion confirmations and clarify any obligations that continue after cancellation.
An expired licence is not a closure certificate
A founder may stop issuing invoices, leave the UAE and allow the licence to expire, believing that the company has ended. Those actions do not establish that cancellation and connected obligations have been completed. The official UAE closure guidance expressly addresses cancellation of the business licence and related permits.
If the company has been inactive for some time, assemble the current licence, any notices and an outline of the last trading activity. Provide dates supported by your company records. The actual position is needed to identify the required government procedures and any separate tax or contractual matters that require attention.
Keep employment, residency and tax work connected
Employees and sponsored family members may be affected differently by a closure. Identify who is sponsored by the company, which work permits remain open and which employment matters need settlement through the proper channels. Cancelling a licence should not be treated as proof that every person’s position is resolved.
Tax deregistration is also a separate process. The FTA’s VAT deregistration service links completion to the required final return and settlement of outstanding liabilities and penalties where applicable. Corporate tax has its own deregistration framework. Obtain advice on the relevant deadlines and responsible party early; do not assume that every tax step must wait until all other closure work has finished.
How Ras Al Hekma assists
We discuss the requested closure scope, help organise the relevant documentation and follow up the agreed government procedures. Tell us the company type, authority, licence status and whether it has staff or active residencies. Any need for a liquidator, legal adviser or other specialist is clarified separately.
The main areas to address during closure
| Area | What completion needs to address |
|---|---|
| Licensing and company status | Authority requirements, legal form and any liquidation appointment. |
| People and contracts | Staff, sponsored residents, tenancy, suppliers and outstanding obligations. |
| Tax and final records | Required deregistrations, filings, settlements and retained confirmations. |
Common questions
Must a company with no sales still be formally closed?
Lack of sales is not proof of cancellation. Establish whether the entity and licence were issued, then check the applicable closure and tax position. A company that never traded can still have formalities to complete.
Is a liquidator always required?
The answer depends on the legal form and authority. Requirements for an establishment or branch are not necessarily the same as those for a company entering liquidation. Confirm the applicable procedure before appointing a specialist or paying for a standard package.
Will you also prepare the final tax returns?
Our advertised tax service does not include return preparation or filing. If closure requires this work, responsibility and any specialist appointment must be agreed separately. Administrative follow-up should not be mistaken for a tax compliance engagement.
Which documents should I keep after closure?
Keep the relevant cancellation and deregistration confirmations, final settlements and supporting company records. Retention duties can continue after closure and differ by record and legal requirement. Agree with the responsible adviser which records must remain available and for how long.
