Mainland or free zone: choosing a structure that fits your business

Your activity, customers and operating needs matter more than the headline licence price.

Choosing where to establish a company is a commercial decision before the licensing paperwork begins. A structure that suits an international consultancy may be less suitable for a business that needs a shop, a warehouse or regular work at clients’ premises. The useful starting point is how your business will operate, rather than which package appears cheapest.

Start with the activity and customers

Describe what you will sell, who will buy it and where the work will take place. Check that the proposed licence covers the actual activity, including any sector approvals. Mainland and free zone options have different licensing arrangements; access to mainland operations must be checked against the relevant permission rather than assumed from a company’s UAE address.

Consider the operating requirements together

Premises, shareholders, employee plans and residency needs should be considered together. A suitable arrangement today should also leave room for foreseeable changes. Ask what happens if you need more visas, a different facility or another licensed activity. Ownership and legal form depend on the activity and authority; a general promise of flexibility is not a substitute for checking the proposed structure.

Compare the continuing commitment

Look beyond the first licence payment to renewal arrangements, facilities and administration. Banking and tax requirements need their own assessment. In particular, a free zone licence alone does not establish that all income receives a zero corporate tax rate. Before committing, request a clear scope showing the authority, legal form, included services and items that remain outside the proposal.

What mainland access means in practice

It is too simplistic to say that a free zone company can never work with mainland customers, or that a UAE licence permits every type of work anywhere in the country. The activity, place of delivery and relevant permissions matter. Selling a service remotely, opening a shop and carrying out work at a client’s premises raise different licensing questions.

Dubai introduced a Free Zone Mainland Operating Permit under Executive Council Decision No. 11 of 2025. DET’s announcement describes a route for eligible free zone companies, initially covering specified non-regulated activities. This is a reason to check the current options for your exact activity, rather than relying on an older blanket comparison. It is not automatic mainland authorisation for every free zone licence. This framework concerns Dubai; operating in another emirate requires a separate review of that emirate’s requirements.

Two businesses, different priorities

Consider two hypothetical founders. One provides design services to overseas businesses, works alone and does not need a customer-facing location. Another plans a physical retail outlet with stock, staff and walk-in customers in Dubai. Their questions about premises, staffing and operating permissions are different, even if both want the same number of shareholders.

Neither description is enough to recommend a specific licence. The comparison becomes useful when it identifies which assumptions must be checked: the permitted activity, the actual workspace, local operations and future staff. Choosing first and asking these questions later can mean paying for amendments or changing the original arrangement.

How we can assist

Ras Al Hekma helps clarify formation options and coordinate the documents and applications within an agreed scope. For a useful first discussion, tell us your activity, expected customers, preferred emirate, shareholders and residency requirements. We can then identify which points need confirmation before you proceed.

Common questions

Does a free zone licence guarantee a corporate bank account?

No. Incorporation and the bank’s account-opening decision are separate. Be ready to explain your business model, ownership and intended transactions, and obtain the bank’s current requirements. A formation package may include help with a bank application, but the bank makes its own decision.

Can I change the structure later?

Possible changes need to be checked with the relevant authority. Adding an activity or changing premises is different from moving an entity to another jurisdiction. Before choosing a package, ask which changes are possible and which would require a separate establishment or additional approvals.

Is the lowest-cost option necessarily the right one?

Only if it also accommodates the work you intend to do. Compare a realistic first-year and renewal scope, including the facility and residency arrangements you actually need. A low initial payment is not useful if essential operating permissions are missing.
